The third edition of this acclaimed book continues to provide a discussion of key theoretical and policy issues in corporate finance law. It has been fully updated to reflect developments in the law and the markets. One of the book's distinctive features is its equal coverage of both the equity and debt sides of corporate finance law, and it seeks, where possible, to compare and contrast the two. This book covers a broad range of topics regarding the debt and equity-raising choices of companies of all sizes, from SMEs to the largest publicly traded enterprises, and the mechanisms by which those providing capital are protected. Each chapter provides a critical analysis of the present law to enable the reader to understand the difficulties, risks and tensions in this area, and the attempts by the legislature, regulators and the courts, as well as the parties involved, to deal with them. The book will be of interest to practitioners, academics and students engaged in the practice and study of corporate finance law.

A century ago, only local charities existed to feed children. Today 368 million children receive school lunches in 151 countries, in programs supported by state and national governments. In Feeding the Future, Jennifer Geist Rutledge investigates how and why states have assumed responsibility for feeding children, chronicling the origins and spread of school lunch programs around the world, starting with the adoption of these programs in the United States and some Western European nations, and then tracing their growth through the efforts of the World Food Program. The primary focus of Feeding the Future is on social policy formation: how and why did school lunch programs emerge? Given that all countries developed education systems, why do some countries have these programs and others do not? Rutledge draws on a wealth of information—including archival resources, interviews with national policymakers in several countries, United Nations data, and agricultural statistics—to underscore the ways in which a combination of ideological and material factors led to the creation of these enduringly popular policies. She shows that, in many ways, these programs emerged largely as an unintended effect of agricultural policy that rewarded farmers for producing surpluses. School lunches provided a ready outlet for this surplus. She also describes how, in each of the cases of school lunch creation, policy entrepreneurs, motivated by a commitment to alleviate childhood malnutrition, harnessed different ideas that were relevant to their state or organization in order to funnel these agricultural surpluses into school lunch programs. The public debate over how we feed our children is becoming more and more politically charged. Feeding the Future provides vital background to these debates, illuminating the history of food policies and the ways our food system is shaped by global social policy.

Drawing on an array of archival evidence from court records to the poems of Chaucer, this work explores how medieval thinkers understood economic activity, how their ideas were transmitted and the extent to which they were accepted. Moving beyond the impersonal operations of an economy to its ethical dimension, Hole’s socio-cultural study considers not only the ideas and beliefs of theologians and philosophers, but how these influenced assumptions and preoccupations about material concerns in late medieval English society. Beginning with late medieval English writings on economic ethics and its origins, the author illuminates a society which, although strictly hierarchical and unequal, nevertheless fostered expectations that all its members should avoid greed and excess consumption. Throughout, Hole aims to show that economic ethics had a broader application than trade and usury in late medieval England.

Anti-competitive business cartels, engaging in practices such as price fixing, market sharing, bid rigging and restrictions on output, are now subject to strong official censure and rigorous legal control in a large number of jurisdictions across the world. The longstanding condemnation under the US Sherman Act of 1890 has been taken up (although in a rather different form) during the last thirty years in the EC/EU and in European national jurisdictions in particular, but also in a range of countries outside North America and Europe. Legal control has not only extended geographically but has intensified, as a number of jurisdictions have moved beyond administrative regulation and penalties to embrace enforcement through civil liability and (most significantly in terms of policy and rhetoric) the methods of criminal law. It is therefore timely to consider critically this development of legal control and assess its achievement to date and its future prospects. But such an exercise requires an understanding of the reasons and need for such regulation, based on a clear appreciation of the nature and extent of the economic and social malaise which is its subject. What, more exactly, are such business cartels, why do they come into existence and persist, why are they regarded as being so bad, and what are the objectives within this increasingly complex and multi-level phenomenon of legal control? By seeking to answer such fundamental questions, this book sets a research agenda for a pathology, aetiology and criminology of business cartels, and probes more accurately their nature, operation, endurance and perceived delinquency.

The financial crisis of 2007-9 revealed serious failings in the regulation of financial institutions and markets, and prompted a fundamental reconsideration of the design of financial regulation. As the financial system has become ever-more complex and interconnected, the pace of evolution continues to accelerate. It is now clear that regulation must focus on the financial system as a whole, but this poses significant challenges for regulators. Principles of Financial Regulation describes how to address those challenges. Examining the subject from a holistic and multidisciplinary perspective, Principles of Financial Regulation considers the underlying policies and the objectives of regulation by drawing on economics, finance, and law methodologies. The volume examines regulation in a purposive and dynamic way by framing the book in terms of what the financial system does, rather than what financial regulation is. By analysing specific regulatory measures, the book provides readers to the opportunity to assess regulatory choices on specific policy issues and encourages critical reflection on the design of regulation.

An Economist Best Book of 2023 | One of The New York Times’ 33 Nonfiction Books to Read This Fall | Named a most anticipated fall book by the Chicago Tribune and Bloomberg | Finalist for the 2024 Hayek Book Prize “Wherever you sit on the political spectrum, there’s a lot to learn from this book. More than a biography of one controversial person, it’s an intellectual history of twentieth-century economic thought.” —Greg Rosalesky, NPR’s Planet Money The first full biography of America’s most renowned economist. Milton Friedman was, alongside John Maynard Keynes, the most influential economist of the twentieth century. His work was instrumental in the turn toward free markets that defined the 1980s, and his full-throated defenses of capitalism and freedom resonated with audiences around the world. It’s no wonder the last decades of the twentieth century have been called “the Age of Friedman”—or that analysts have sought to hold him responsible for both the rising prosperity and the social ills of recent times. In Milton Friedman, the first full biography to employ archival sources, the historian Jennifer Burns tells Friedman’s extraordinary story with the nuance it deserves. She provides lucid and lively context for his groundbreaking work on everything from why dentists earn less than doctors, to the vital importance of the money supply, to inflation and the limits of government planning and stimulus. She traces Friedman’s long-standing collaborations with women, including the economist Anna Schwartz; his complex relationships with powerful figures such as the Federal Reserve chairman Arthur Burns and the Treasury secretary George Shultz; and his direct interventions in policymaking at the highest levels. Most of all, Burns explores Friedman’s key role in creating a new economic vision and a modern American conservatism. The result is a revelatory biography of America’s first neoliberal—and perhaps its last great conservative.
TRB's National Cooperative Highway Research Program (NCHRP) Synthesis 402: Construction Manager-at-Risk Project Delivery for Highway Programs explores current methods in which state departments of transportation and other public engineering agencies are applying construction manager-at-risk (CMR) project delivery to their construction projects. CMR project delivery is an integrated team approach to the planning, design, and construction of a highway project, to help control schedule and budget, and to help ensure quality for the project owner. The team consists of the owner; the designer, who might be an in-house engineer; and the at-risk construction manager. The goal of this project delivery method is to engage at-risk construction expertise early in the design process to enhance constructability, manage risk, and facilitate concurrent execution of design and construction without the owner relinquishing control over the details of design as it would in a design-build project.

This book presents the general principles of contract law that apply in the countries of the University of the South Pacific ('USP') region - Cook Islands, Fiji Islands, Kiribati, Marshall Islands, Nauru, Niue, Tokelau, Tonga, Tuvalu, Samoa, Solomon Islands, and Vanuatu. It is unique in that it provides the only up-to-date survey of regional authorities for the principles of contract operating within the region. Like many other branches of the law, contract law has yet to establish its own identity in the South Pacific. However, whilst it is still based on the law of England, there are significant differences between English contract law and South Pacific contract law. The text provides a clear explanation of this divergence and highlights regional innovations, both in the form of legislation and local case law. It also examines the role of customary law and provides a comprehensive study of the significant differences between the law of contract in individual regional countries. Comparison is made between regional law with current English contract law, and with the contract law of Australia and New Zealand, particularly where regional courts have preferred that law to the law of England. This book is essential reading for all students of contract law in the South Pacific and constitutes a very useful source book and guide for academics and practitioners, from within and outside the region.

Unsatisfied with the relentless pace and narrow constraints of social media, two Americans— Winkfield Twyman, Jr. and Jennifer Richmond, a black man and a white woman— rediscovered the art of letter writing and maintained a years-long correspondence about race in the United States. In Letters in Black and White, they share for the first time their exchange in full, charting their journey from wary strangers to trusted confidants. At a time when many Americans are dazed, confused, and angered by the country' s current state of race relations, they offer a model not only for having needed but difficult conversations but also for a better way forward. Marked by well-crafted turns of phrase, sharp wit, and sober reflection, they do not rely on those fashionable words and phrases that have been drained of real meaning or are hopelessly saddled with excessive baggage, such as antiracism, white fragility, and allyship. Rather, on topics ranging from the murder of George Floyd and the launch of the 1619 Project to the debate over reparations and the nature of elite black organizations like Jack and Jill of America, they tell the truth as they see it in their own uncorrupted language, speaking for no one but themselves. Particularly critical of both the ideological battles that fuel media programming and entrench political rivalries and the noble-sounding social and cultural projects that fail time and again to offer any meaningful solutions, they identify productive ways to unify across our differences— ways to find our common humanity and to mend America' s divided soul. Ultimately, they offer an inspirational message of hope and optimism for all— one that does not allow the past to define our present or predetermine our future.

An in-depth look at how democratic values have widened the American arts scene, even as it remains elite and cosmopolitan Two centuries ago, wealthy entrepreneurs founded the American cathedrals of culture—museums, theater companies, and symphony orchestras—to mirror European art. But today’s American arts scene has widened to embrace multitudes: photography, design, comics, graffiti, jazz, and many other forms of folk, vernacular, and popular culture. What led to this dramatic expansion? In Entitled, Jennifer Lena shows how organizational transformations in the American art world—amid a shifting political, economic, technological, and social landscape—made such change possible. By chronicling the development of American art from its earliest days to the present, Lena demonstrates that while the American arts may be more open, they are still unequal. She examines key historical moments, such as the creation of the Museum of Primitive Art and the funneling of federal and state subsidies during the New Deal to support the production and display of culture. Charting the efforts to define American genres, styles, creators, and audiences, Lena looks at the ways democratic values helped legitimate folk, vernacular, and commercial art, which was viewed as nonelite. Yet, even as art lovers have acquired an appreciation for more diverse culture, they carefully select and curate works that reflect their cosmopolitan, elite, and moral tastes.
This book explores international development, contrasting the Eastern and Western experiences. It shows that, in the East, the Chinese experience has, in recent years, become shorthand for economic development and internationalization. China continues to build its society on an agricultural basis while simultaneously adapting to technological and institutional innovations. The volume highlights that, in global societies, both capitalistic and communistic, the nature of innovation has increasingly come to influence individual and common lives. It traverses the architecture journey in India, and bestows a clarity on the directions still to be taken.
