This book advances a real entity theory of company law, in which the company is a legal entity which acts autonomously in law, and company law establishes procedures facilitating autonomous organisational decision-making. The theory builds on the insight that organisations or firms are a social phenomenon outside of the law and that these are autonomous actors in their own right. They are more than the sum of the contributions of their participants and they act independently of the views and interests of their participants. This occurs because human beings change their behaviour when they act as members of a group or an organisation; in a group we tend to develop and conform to a shared standard, and when we act in organisations habits, routines, processes, and procedures form and a culture emerges. These take on a life of their own affecting the behaviour of the participants. Participants can affect organisational behaviour but this takes time and effort. Company law finds this phenomenon and supplies it with a structure supporting autonomous action by organisations. The real entity theory advanced in this book explains company law as it stands at a positive level. Legal personality overcomes the problems that organisations are social rather than brute facts and that there is no unique physical manifestation permanently associated with an organisation. The corporate constitution is not a contract - it is best characterised as an instrument adopted on a statutory basis through private action. Shareholders cannot limit the capacity of companies or the authority of the board to bind the company in contract and companies are liable in tort and crime. The statute creates roles for shareholders, directors, a company secretary, and auditors and so facilitates a process leading to organisational action. The law also integrates the interests of creditors and stakeholders.

Building on recent theories of interactive governance and political leadership, Interactive Political Leadership develops a concept of interactive political leadership and a theoretical framework for studying the role of elected politicians in the age of governance. The purpose of the theoretical framework is to inspire and guide empirical research into how elected politicians perform political leadership in a society where citizens and other stakeholders play an active role in making and implementing political decisions and what barriers, challenges, and dilemmas they encounter in relation to the performance of interactive political leadership. The research framework draws extensively on recent theories of interactive governance and political leadership and other new developments in political science and public administration research. Moreover, it finds inspiration in current tendencies and embryonic examples of interactive political leadership performed by elected politicians operating at different levels of governance in Western liberal democracies. The basic assumption is that political legitimacy is essential for the survival of a political system, and that interactive political leadership stands out as a promising way of securing what political scientists denote as input-, throughput-, output-, and outcome legitimacy in the age of governance. Hence, interactive political leadership aims to establish a bridge between representative democracy and emergent forms of political participation, to promote political learning and accountability, to strengthen the political entrepreneurship of elected politicians, and to advance the political system's implementation capacity through resource mobilization. The book develops 20 propositions that sets the agenda for a new and much needed field of empirical research into political leadership in the age of governance.

Old Rappahannock County, originally embracing lands lying on both sides of the Rappahannock River, was organized in 1656 and was formerly a part of Lancaster County. In 1692 Old Rappahannock was abolished. The portion lying south of the river was taken to form Essex County, and the area north of the river formed the county of Richmond. Records of Old Rappahannock and Essex counties, on which this work is founded, date from 1655 and are on file at the courthouse in Tappahannock, Essex County. Some marriage bonds of the period 1804 to 1853 were previously copied into the marriage register, instituted as the official catalogue of marriages. In compiling this work, Mrs. Wilkerson used not only the marriage bonds found in the register and the marriage register itself, but also inferential marriage proofs derived from wills, deeds, and court order books. The result is a work of astonishing magnitude; the period covered runs to nearly 250 years and the number of persons namedΓ including brides, grooms, parents, and guardiansΓ touches 10,000. The text is arranged alphabetically throughout and includes the date of the marriage record and the source.

Sludge transportation costs can represent a large fraction of the expenses associated with municipal and faecal sludge management. These costs can be mitigated through the use of thermal drying approaches to reduce the sludge volume. This thesis described the application of a novel microwave-based pilot-scale unit as an alternative technology for the sanitisation and drying of sludge from municipal wastewater treatment plants and on-site sanitation facilities. The potential economic benefits of volumetric heating, moisture levelling, and increased liquid and vapour migration from the interior to the surface of the product underpins the increasing interest in the use of microwave technology during sludge treatment processes. According to the findings of this study, these factors lead to faster processing times, improved drying rates, and a reduced physical footprint. Furthermore, microwave technology operates as a standalone treatment unit. When coupled with mechanical dewatering techniques and membrane separation technology, it can increase the reliability of the technology employed in the treatment of sludge while recovering valuable resources through an agricultural or thermochemical application such as (co-) combustion. The results of this work demonstrate the strong feasibility of applying microwave-based technology within initiatives designed to protect the environment and safeguard public health.

In the early 1990s the then European Community imposed for the first time a set of economic restrictions against a specific entity: the National Union for the Total Independence of Angola. Since then, the individualisation of sanctions has become entrenched, these so-called 'smart' sanctions have proliferated, their targets and scope of application have significantly expanded, and they operate in an increasingly juridified environment. This book aims to shed light on the constitutive dynamics and causes of these developments, with a focus on the juridification of individual sanctions at the European level. To this end it first revisits the phenomenon of individualisation – moving beyond the conventional narrative that individual sanctions emerged because of humanitarian and effectiveness concerns – and situates the 'smarting' of sanctions within the context of broader structural transformations characterised by the consolidation of the global neoliberal order. Second, the book explores why the role of law has been so pronounced in the European context by unearthing the connections between EU law and capitalist order building.

Personal property security is an important subject in commercial practice, as it is the key to much of the law of banking and sale. This second edition has been fully updated and expanded to cover all important issues and changes within this highly complex area of law. It explains traditional methods of securing debts (such as mortgages, charges, and pledges) on property other than land, describing how these are created, how they must be registered (or otherwise 'perfected') if they are to be valid, the rights and duties of the parties, and how the security is enforced if the debt is not paid. The new edition includes an expanded section on priorities in which it explains how 'priority' disputes between competing interests over the same property are resolved. In addition the book covers the law governing other transactions that perform a similar economic function (such as finance leases, retention of title clauses, and sales of a company's book debts). These are not currently treated by the law as security and are therefore subject to different rules on perfection, priority, and enforcement. There is much expansion of the discussion relating to enforcement including the issue of 'right of use' following Lehman, more analysis on administration and all forms of non-possessory security and quasi-security, and a new chapter on enforcement of security addressing the right of appropriation under FC/FCAR and the Cukurova case. The conflict of laws section includes developments under the Rome I Regulation affecting assignment issues, the UNIDROIT Convention 2009 in relation to tiered holdings and the Cape Town Convention's extensions made to coverage of asset-backed security over equipment. It also addresses the changes brought about by the abolition of Slavenburg registration. This edition contains relevant points from the Banking Act 2009 concerning its impact on security, such as the power to protect certain interests on a transfer of property, and also considers amendments regarding liquidators' expenses under the Insolvency Rules. The authors additionally deal with the role of step-in rights and why they are part of the statutory definition of project finance in the Enterprise Act. Previously published as The Law of Personal Property Security, this new edition brings together all of the law on this complex area, providing guidance in the context of commercial practice, especially with increased coverage of conflict of laws, priority, insolvency, and enforcement.

The innovation lies in a simultaneous consideration of three identities – ethnicity, religion, and class-based ideology – thus extending previous studies with merely an ethnic focus. Most importantly, such a perspective implies a shift towards a society’s unique three-dimensional identity setup, upon which the excluded population and their transnational links can be determined. The author presents original data on the three-dimensional identity setup for 57 countries and introduces a formal model where rebel leaders strategically use identities to garner the support of the population. Key quantities of interest, such as the largest excluded subgroup or the number of identity links to external governments, are tested in several quantitative analyses as predictors for the onset of civil conflicts. The author shows that there is an added value of extending the mere ethnic perspective to also encompass religion and class-based ideology.

Personal property security is an important subject in commercial practice as it is the key to much of the law of banking and sale. This book examines traditional methods of securing debts (such as mortgages, charges and pledges as well as so-called 'quasi-security') on property other than land, describing how these are created, how they must be registered (or otherwise 'perfected') if they are to be valid, the rights and duties of the parties and how the security is enforced if the debt is not paid. This fourth edition has been updated to incorporate recent political and legal developments, including Brexit. The 'Edinburgh Reforms', which have followed the United Kingdom's exit from the European Union, promise a thorough overhaul of the consumer credit regime. The Retained EU Law (Revocation and Reform) Act 2023 potentially affects the interpretation of EU assimilated law, including the Financial Collateral Arrangements (No2) Regulations (FCARs). This edition further assesses the implications of the Business Contract Terms (Assignment of Receivables) Regulations 2018, taking pledges over electronic documents of title in the light of the Electronic Trade Documents Act 2023, the outlawing of 'ipso facto' clauses by the Corporate Insolvency and Governance Act 2020, and the reduced scope of the EU Insolvency Regulation. The treatment of insolvency matters within the framework of the Cape Town Convention is also considered, as are recent cases on pledges of bills of lading when the carrier no longer has possession of the goods, the distinction between fixed and floating charges, equitable liens and the right of appropriation of financial collateral. There is a full discussion of the taking of security over digital assets and the relevance of the FCARs. The only full-length treatment covering both traditional security over personal property and also devices that fulfil a similar economic function, such as retention of title and sales of receivables, The Law of Security and Title-Based Financing is a frequently-cited and indispensable reference work both for practitioners and academics.
